1. DEFINITION 1. In this document, the following terms are used equally in the singular and plural (unless otherwise stated in the meaning of the term and / or definition) in the following meanings: 1.0. Offer - a public offer of the Administrator, addressed to any person, to enter into this Agreement with him. 1.2. Acceptance - full and unconditional acceptance by the User of the terms of the Agreement. 1.3. Administrator - Limited Liability Company "Business Promotion", which has entered into an Agreement with the User to grant the right to use (subscribe) to the service. 1.4. User - a legal or natural person who has entered into an Agreement with the Administrator on the terms contained in this offer. 1.5. A registered user is a user who has passed the registration procedure on the Internet Service. The User is registered independently by the User by filling in the registration form posted on the Service, namely entering his e-mail address and password and then sending it to the Administrator of the registration form. If the Administrator has no objections to the User's registration, assigning the User a login and password to access the Service. The Registered User after passing the registration procedure to log in to the personal page of the Service must go through the authorization procedure by entering his login and password on the relevant page of the Service. 1.6. Subscription - providing the Administrator to the registered User on the basis of the order access to the Tik-Stats service for a fee. The Subscription Auto Renewal Service allows you to automatically renew the Subscription for a period equal to the period of the Subscription issued with the Auto Renewal service activation by automatically debiting the amount of funds from the User's bank card according to the value of the previous Subscription issued with the Auto Renewal service activation. The User agrees to provide the Subscription Auto Renewal Service by automatically debiting the User's bank card. 1.8. Subscription fee - the cost of using the Tik-Stats service. 1.9. Service - Tik-Stats service, Service placement site - https://tiktok-alltrends.com 1.10. Bonus service options are additional free features of the Tik-Stats service, which extend the standard functionality of the Tik-Stats service when activating the Auto-renewal user. If the user refuses the Subscription Auto Renewal service or another loss of the user's right to Auto Subscription Renewal, the bonus options are automatically terminated. The User has the right to restore the Subscription Bonus Options by activating the Auto Subscription Renewal service. At the same time, the Administrator has the right to independently determine, supplement and change the list of Bonus Options. 1.11. Renewal of subscription - in case of denial of the User or other loss of the User's right to use the subscription to the Tik-Stats service, the User has the right to renew the subscription by using the "renew subscription" button on the Tik-Stats website or contacting technical support. 1.12. Premium tariff - is a full functionality of the Tik-Stats service with the ability to contact the Technical Support Service directly through the widget (application) of online chat on the service's website, unlimited collection of Instagram accounts, as well as the ability to return the cost of annual service. (without the possibility of restoring access) blocking the user's Instagram account in the presence of conclusive evidence that such blocking was due to the actions of the service Tik-Stats. The cost of the tariff is from 0 to 7972 UAH. for every 30 days of using this subscription. Payment is made every 30 days using the Auto-renewal service described in clause 1.7 of this agreement.



2. TERMS 2.1. The Administrator provides the User with the opportunity to use the Tik-Stats Service under the terms of this Agreement, as well as for a fee for access to service options limited by the Subscription period and the terms of this Agreement, and the User agrees to pay the Subscription in accordance with the terms of this Agreement. The description and capabilities of the Service are set out on the website https://tiktok-alltrends.com. 2.2. The User has the right to choose the configuration and functionality of the functional use of the Service, the period of its use from the options provided by the Administrator at https://tiktok-alltrends.com 2.3. The User undertakes to familiarize himself with the terms of this Agreement and monitor changes to this Agreement by regularly, at least 1 (once) every 14 (fourteen) calendar days, reviewing the contents of this Agreement. 2.4. Acceptance of this offer, the Parties recognize the purchase by the User (both after the test period and during its validity) of any subscription package in accordance with the provisions of Art. 4 of this Agreement. 2.5. The Administrator does not grant the User the right to use the Service due to him to create a new result of intellectual activity. 2.7. All results of intellectual activity that constitute the Service and posted on the Services are protected by the legislation on intellectual property of Ukraine, the Territory, as well as relevant international legal conventions and treaties. Any use of the results of intellectual activity posted on the Service without the proper permission of the Service Administrator is illegal and may lead to litigation and involvement of violators in civil, administrative and criminal. liability in accordance with the legislation of Ukraine and / or the Territory.



3. PROCEDURE FOR USING THE SERVICE 3.1. The user gets the right to use the service on the website https://tiktok-alltrends.com through a web browser. 3.2. The User receives the right to use the Service from the moment of concluding this Agreement, which is determined in accordance with clause 2.5 of the Agreement. 3.3. By registering on the Service, the User agrees to receive informational messages by e-mail and / or telephone number specified during registration.



4. RIGHTS AND DUTIES 4.1. Administrator rights. 4.1.1. Determine at its discretion the composition of the Service, its structure and appearance, allow and restrict access to the Service in accordance with this Agreement and the legislation of Ukraine. 4.1.2. In case of violation by the User of this Agreement, suspend, restrict or terminate the access of such User to all or any of the options of the Service unilaterally, as well as block the use of the Service (block authorization and / or IP addresses) for Users in any time, with or without prior notice, without liability for any damage that may be caused to the User by such action (including terminating the Agreement completely by deleting the User's account from the Service). 4.1.3. Release new releases and versions of the Service. 4.1.4. Engage third parties to provide additional options under this Agreement. 4.1.5. Unilaterally amend this Agreement by publishing new editions and posting them at https://tiktok-alltrends.com 4.1.6. Changes begin to apply to the relationship between the Administrator and the User after 3 (three) working days after the publication of the new version of the Agreement on the website. 4.1.7. The Administrator has the right to take any actions that do not contradict the current legislation of Ukraine and the Territory in order to prevent unauthorized access to the Service and / or Content, destabilize the Service and other actions that violate the rights and legitimate interests of the Administrator. 4.1.8. To place advertising and / or other information in any section of the Service, to which the User agrees by accepting this Agreement. 4.1.9. Set age restrictions on access to the service. 4.1.10. The Administrator has the right from time to time to inform the User about the promotions conducted by the Service, news of the Service and other issues related to the activities of the Service for its development and changes. In this case, the User has the right to refuse to receive such information at any time by clicking on the appropriate link in the letter from the mailing list received by e-mail. 4.1.11. The Administrator has the right to deny the User technical support if such User has not registered for the Service independently, has not accepted this agreement and gained access to the Service by purchasing a login and password to access the Service from a third party who is not Administrator.
4.2. User rights. 4.2.1. Make full use of all functionalities provided by the Service, subject to payment of the Subscription and lawful use of the Service under the terms of this Agreement. 4.2.2. The User has the right to terminate the use of the Service and cancel the account created by sending the Administrator to the e-mail address support@tiktok-alltrends.com from his e-mail address specified during registration on the Service, a request to delete the User's account. Based on the request to delete the account received from the User in the manner specified in this paragraph, the Administrator shall delete the User's account within 30 (thirty) calendar days after receipt of his request. 4.2.3. In case of difficulties in using the service, the User may refer to the Instructions for use of the service, posted on the public website of the service, or contact technical support at the e-mail address support@tiktok-alltrends.com. 4.3. Responsibilities of the User. 4.3.1. Use the Service in accordance with this Agreement. 4.3.2. Make payments under this Agreement in accordance with the terms of this Agreement. 4.3.3. Protect the confidentiality of information, materials, documents, as they have become available to you within the framework of the service. 4.3.4. The user is fully responsible for the preservation of their credentials and for damages or other damages that may arise due to unauthorized use of this information. In case of loss, unauthorized access to credentials or the possibility of such a situation, the User has the right to send a request to the Administrator to change the credentials. In this case, the Administrator, in agreement with the User, blocks access to the User's credentials. The term of such blocking shall be agreed by the Parties in addition. In this case, the Administrator is not responsible for notifying any third parties of the temporary suspension of access to the User's information system and for possible consequences arising from the absence of such notification. 4.3.5. Do not perform actions aimed at modification and / or any change of the Service. 4.3.6. Do not take other actions that are not expressly permitted in this Agreement or the current legislation of Ukraine. 4.3.7. The User undertakes to independently familiarize himself with the terms of this Agreement and monitor changes to this Agreement by regularly, at least 1 (once) every 14 (fourteen) calendar days, reviewing the contents of this Agreement. Independently get acquainted with the official information from the Administrator, published in the manner prescribed by this Agreement, the Instructions for use of the service, as well as monitor the implementation of new documents or changes in existing ones. 4.3.8. The User agrees to indemnify the Administrator for any damages caused by the Administrator in connection with the User's use of the Service and / or violation by the User of this Agreement and / or the rights (including copyright, related, patent, information) of third parties 4.4. Responsibilities of the Administrator 4.4.1. Provide the technical possibility for the User to access the Service in accordance with the procedure established by this Agreement, in accordance with the restrictions established by this Agreement. 4.4.2. Carry out current management of Service sections.



5. PRICE AND PREPAYMENT PAYMENT 5.1. The subscription price is the cost of granting the Registered User access rights to the Tik-Stats service. The subscription price is periodic payments for the relevant period in a fixed amount, in UAH. The price depends on the service options selected by the user and the period of access to the service. Prices are posted by the Administrator on the website https://tiktok-alltrends.com/payment (the price of the VAT product is not taxed on the basis of the Tax Code of Ukraine). The subscription price may be unilaterally changed by the Administrator at any time at its discretion without prior notice to the User. 5.2. Payment for the use of the Service is subject to 100% prepayment. 5.3. Payment of the subscription price is made as follows: 5.3.1. Individuals by the methods specified on the website https://tiktok-alltrends.com paying for the first time any package of subscriptions to the Service by bank card or other electronic payment, then the User is provided with the service Auto-renewal subscription. This service is provided free of charge by the Service for automatic renewal of the Subscription. The Subscription Auto Renewal Service allows you to automatically renew the Subscription for a period equal to the Subscription period issued by the User by automatically debiting the amount of funds from the User's bank card according to the value of the previous Subscription selected by the User. The expression of the User's consent to provide the Auto-renewal subscription service by automatically debiting the User's bank card is: - introduction by the User of the bank card data at the time of payment of the first Subscription period on the Service's website. To unsubscribe, the User must perform actions in the Personal Account on the website https://tiktok-alltrends.com, selecting the tab "Subscription Management" and then "Unsubscribe". 5.3.2. Legal entities in accordance with the invoice. 5.4. The moment of fulfillment of payment obligations by the User is the date of receipt of funds in the amount to the current account of the Administrator. 5.5. When transferring payment by the User in an amount greater than the amount of the periodic payment, the overpaid amount is credited in advance in the period of subsequent periodic payments. 5.6. The user has the right not later than one day before the date of writing off the next periodic payment to refuse to use the service by self-cancellation through the user's personal account at https://tiktok-alltrends.com, or by contacting the technical support of the site. 5.7. Payment by the User of the subscription package at the promotional price does not automatically extend the discount to the following periodic payments, which are made at the prices indicated on the website https://tiktok-alltrends.com 5.8. In case the User changes the selected subscription, the unused signature is recalculated to the purchase account, and further write-off of periodic payments will be made based on the value of the current subscription. 5.9. If the User sends the relevant application (request) in the manner prescribed by paragraph 5.6 of this Agreement, within the specified period, but the periodic payment for the next period was made, the Administrator returns the funds received by him at the expense of periodic payment to the User. Refunds are made within 15 working days according to the details from which the corresponding payment was made. 5.10. If the User submits the relevant application (request) later than the term provided for in paragraph 5.6 of this Agreement, and periodic payment for the next period was made - the Administrator does not return the funds listed after receiving the application (request) to the User for the paid period. after the end of the paid period. The User has the right to use the Service until the end of the paid period in accordance with the terms of the purchased subscription to the Service. 5.11. If the payment details are invalid at the time of submitting the application for cancellation of the periodic payment service, the User undertakes to indicate this circumstance with copies of supporting documents and provide valid details for return. The date of the beginning of the calculation of the 15-day period will be considered the date of providing the Administrator with new relevant details of the User. 5.12. In case of early termination of this Agreement for any reason, the amount of the periodic payment is not refundable to the User, regardless of the actual use of the service by the User. 5.13. The Administrator has the right to unilaterally change the subscription price under this Agreement by amending this Agreement, without prior notice to the User of such change. 5.14. The change in the subscription price does not apply to already paid periods of use of the program. 5.15. Paragraph of the Civil Code of Ukraine shall not apply to the relations of the Parties under this Agreement. 5.16. If the User is provided with a free period of using the subscription to the service, after the end of such period the cost of subscribing to the Tik-Stats service will be the cost of the subscription price in accordance with the set amount for each month of use. Debiting of periodic payments will be carried out with the bank card with auto-renewal service specified by the User. 5.17. In case of insufficient funds on the User's account specified during registration on the website https://tiktok-alltrends.com to pay for the next periodic payment, the Administrator has the right to suspend the User's access to the Tik-Stats service until the User pays the subscription price in full. In this case, the Administrator has the right for the next six months to make attempts to debit funds from the specified means of payment of the User to repay the full cost of the next periodic payment.



6. RESPONSIBILITIES OF THE PARTIES 6.1. The Parties shall be liable for non-performance or improper performance of obligations under this Agreement in accordance with the Agreement and the current legislation of Ukraine. 6.2. In case of violation of the term of payment of the subscription price (periodic payment) the right to use the Service is terminated for the period until the receipt of funds in the required amount. 6.3. The Administrator is not responsible for the violation by the User of the rights of third parties, including the violation committed with the help of the Service. 6.4. The administrator is not responsible for the disclosure of information that arose through no fault of his or became necessary under the laws of Ukraine at the request of public authorities.



7. FORCE MAJOR 7.1. Neither party shall be liable to the other party for failure to perform due to circumstances beyond the control of the parties and the wishes of the parties that cannot be foreseen or avoided, including declared or actual war, civil unrest, epidemics, blockade, earthquakes, floods, fires and other natural disasters. 7.2. The Party that is unable to fulfill its obligations must notify the other party of the obstacle and its impact on the fulfillment of obligations under the Agreement within 5 (five) days from the occurrence of these circumstances. The administrator has the right to report this information by posting it on the website https://tiktok-alltrends.com. 7.3. A Party that has not promptly notified the other Party of the occurrence of force majeure shall be deprived of the right to invoke such in support of non-performance or improper performance of its obligations under this Agreement.



8. SETTLEMENT OF DISPUTES 8.1. Disputes arising from the performance of the contract under the terms of this Offer shall be resolved in compliance with the claims procedure. The claim shall be submitted to the Agent in writing with the attachment of documents substantiating the proposed requirements, within no more than 10 (ten) calendar days from the date of the dispute. The received claim is considered by the Agent within no more than 10 (ten) calendar days. 8.2. If it is impossible to reach an agreement, disputes that have arisen shall be considered in the manner prescribed by current legislation of Ukraine. 8.3. For all other issues not provided for in this Offer, the Parties are guided by the current legislation of Ukraine.



9. OTHER TERMS 9.1. By agreeing to this Offer, the Buyer provides his personal data, as well as his consent to their processing. 9.2. The purpose of personal data processing is to fulfill the terms of this Offer. 9.3. The list of personal data for the processing of which the Buyer agrees: • full name; • Email; 9.4. List of actions with personal data, for which the Buyer agrees: collection, systematization, accumulation, storage, clarification (update, change), use, dissemination (including transfer), depersonalization, blocking, destruction of personal data. These actions can be carried out in the following ways: in documentary, electronic, oral forms. 9.5. In order to implement the state policy in the field of personal data protection and in accordance with the Law of Ukraine "On Personal Data Protection" № 2297-VI of 01.06.2010 the Parties have the right to transfer personal data, both within the database and separately, to third parties only for fulfillment of the terms of this Offer and / or from the date of receipt of the request from a third party (supervisory authorities), and that the other Party, in this case, will not claim and be entitled to any remuneration and other compensation. The consent given by the Party taking into account the requirements of Art. 7, art. 8 and Article 11 of the Law of Ukraine "On Personal Data Protection" № 2297-VI of 01.06.2010 and is valid indefinitely and without restrictions on the territory



10. TERM OF THE OFFER 10.1. This Offer is effective from the date of its placement on the Agent's website and is valid indefinitely. The provisions of this paragraph also apply to additions (changes) to this Offer.
